Pisces OffshoreICSP · Seychelles

The firm

A licensed practice in Victoria, not a mail forwarding address.

Pisces Offshore exists because Seychelles requires it to: the vehicles we administer may only be held by a provider holding an ICSP licence, and that licence carries obligations that continue every year the entity is alive. What follows is how those obligations are actually met.

§ 01 · CategoriesICSP Act, 2003

The licence, in three parts

01

International corporate services

Formation, management and administration of specified entities; acting as registered agent, registered office and nominee officer.

02

International trust services

Formation and administration of Seychelles trusts and acting as licensed resident trustee, including trustee services to private trust companies.

03

Foundation services

Registration, management and administration of Seychelles foundations and acting as registered agent and council member.

A provider may hold one category and not the others. That is worth checking before a structure is recommended to you: a firm that cannot act as trustee should not be pitching a trust.

§ 02 · SupervisionFinancial Services Authority

What the licence obliges us to do

Licensed, and supervised

Providing corporate, trustee or foundation services to a Seychelles specified entity without a licence is not an option. We operate under one, and the Authority inspects against it.

Fit and proper, continuously

Licensing is not a one time test. Directors, shareholders and the AML officer remain subject to fit and proper standards for as long as the licence is held.

Records in one place

Statutory registers, beneficial ownership records and accounting record notices are kept at our registered office, so a request for information has one answer.

No investment advice, no custody

We do not give investment advice and we do not hold client money. Those roles belong to your bank and to authorised advisers, and we say so on the engagement letter.

§ 03 · Mandate

What the engagement letter says

Fee surprises and scope creep are the two complaints that follow a bad provider relationship. Both are documentary problems, and both are solved before the work begins.

01

The entity type being formed, and the reason it is the right one.

02

Every document we will prepare and every document you must provide.

03

The fee for the first year, and the renewal fee for each year after it.

04

Where the statutory registers and accounting records will physically be kept.

05

Who at the firm is responsible for the file, and how to reach them.

06

What we are instructed to do, and in the same clause what we are not.

§ 04 · Transfers

Moving an existing entity to us

Entities change provider for unglamorous reasons: a fee that tripled, an agent who stopped replying, a licence category the provider never held. The transfer itself is procedural. The value is in the state of the file that arrives.

Send us the certificate

A copy of the certificate of incorporation or registration is enough for us to identify the entity, its number and its current agent.

We request the file

We write to the outgoing agent for the statutory registers, beneficial ownership record and any accounting record notices, and we chase until they arrive.

You confirm, we file

You approve the transfer in writing, the change of registered agent is filed with the Authority, and the new agent's details take effect without a gap.

We report what we found

A short note on the state of the file: what is present, what is missing, and what needs filing before the next annual fee falls due.

§ 05 · Limits

Where the mandate stops

Legal counsel is separate

We prepare constitutions, resolutions and registers to the terms you instruct. We do not litigate, opine on validity or draft the underlying commercial contract.

Tax advice is separate

Residency, treaty position and reporting obligations belong to a tax adviser. We will introduce you to one, and we will not answer the question ourselves.

Client money is not held here

We open the bank and payment accounts for the entities we administer, in your name. We are not a custodian.

Investment decisions are yours

Nothing on this site is a recommendation to buy, hold, sell or fund anything. Where a structure is not appropriate, we say so before filing anything.
